Date of Defense 2009-07-21 Availability unrestricted Abstract Building on resource dependence theory, this dissertation seeks to explain why target firm directors are retained from the target organization and if this retention has an effect on post-acquisition performance. Both acquisition level characteristics and director level characteristics were assessed in a sample of 173 acquisitions to examine director retention. Findings indicate that power imbalance, relative board size, acquisition relatedness, and director interlocks influence target director retention. No support for a link between director retention and performance was found.
